Xcel Energy plans $2bn convertible notes due 2027

Xcel Energy's convertible notes offering targets $2bn due 2027, with proceeds earmarked to repay short-term borrowings, the utility said.

Xcel Energy (NASDAQ: XEL) said on 2 November 2026 it intends to offer $2bn of convertible senior notes due 2027 in a private placement. The Minneapolis-based utility disclosed the convertible notes offering in a statement confirmed by an 8-K filing with the SEC.

The company plans to grant initial purchasers an option to buy an additional $300m of notes, settleable within 13 days of first issuance, according to the filing. The notes are being sold under an exemption from registration provided by the Securities Act of 1933, a route large utility issuers often use for faster execution than a registered public offering.

Xcel plans to use proceeds to repay short-term borrowings, including commercial paper and part of its 364-day delayed draw term loan, as first reported by Investing.com. The structure effectively swaps short-term debt for a fixed-maturity instrument due 2027.

The announcement came three days after Xcel filed its third-quarter 10-Q, which showed net income of $960m for the three months to 30 September 2026, against diluted earnings per share of $1.52, up from $0.88 a year earlier. The improving earnings run sits alongside the company’s reliance on short-term facilities to fund its capital programme, a pattern not unusual among regulated utilities carrying heavy infrastructure spend.

Shares fall as the deal is priced

XEL shares traded at $78.19 as of 2 November 2026, down 2.63% over 24 hours, with volume running 1.36 times the 20-day average, according to consolidated exchange data. The stock had traded as high as $81.46 and as low as $73.58 over the preceding 20 sessions.

FINRA short-sale volume data show the ratio for XEL peaked at 0.708 on 21 October 2026 before easing to 0.601 by 30 October, the session before the offering was announced. Convertible note issuance frequently draws short-selling activity tied to hedging by buyers of the new securities, a dynamic that can account for some of the pre-announcement positioning.

A history of raising debt at the holding-company level

Xcel has used senior notes to fund its balance sheet before. In November 2021 the company issued $500m of 1.75% senior notes due 2027 and $300m of 2.35% senior notes due 2031, according to an 8-K filed with the SEC at the time. The latest deal follows that pattern of tapping capital markets at the parent level rather than through its regulated operating subsidiaries.

Earnings at Xcel have climbed steadily over recent quarters. Net income rose from $302m in the second quarter of 2024 to $682m in the third quarter of that year, then to $483m, $444m and $524m across the first three quarters of 2025, before reaching $556m, $586m and $960m in the first three quarters of 2026, according to filings with the SEC. Diluted earnings per share followed a similar trajectory, climbing to $1.52 in the most recent quarter from $0.93 and $0.89 in the two quarters before it.

GuruFocus noted Xcel’s dividend yield stood at 2.91% with a payout ratio of 55%, framing the debt raise against the company’s existing distribution policy, according to GuruFocus.

Macro backdrop for the raise

The offering lands as US Treasury yields hold near multi-year lows for the cycle. The 10-year Treasury yield stood at 4.98% on 29 October 2026, down from 5.05% in the prior reading, according to data from the Federal Reserve Bank of St. Louis. The 2-year yield was 4.61%, versus 4.67% previously, leaving the 10-year/2-year spread at 0.38 percentage points.

Convertible issuance typically lets borrowers set a lower coupon than straight debt in exchange for the conversion option attached to the notes, a trade-off that can suit utilities managing a heavy capital-spending schedule alongside near-term refinancing needs. US unemployment stood at 4.2% in September 2026, up from 4.1% the month before, while headline CPI rose to 336.298 from 334.131, according to the same Federal Reserve data series.

Xcel did not disclose pricing terms, including the conversion rate or coupon, at the time of the announcement. The company said the offering remains subject to market and other conditions, with final terms to be set once the private placement is launched.
