A finance-focused professional services business has ventured into the legal market by acquiring DR Solicitors, a law firm based in Surrey, for a significant sum of £6.1m. This acquisition is pivotal as it establishes a substantial legal services platform under the firm’s umbrella, diversifying its services beyond finance and accountancy. The firm operates under the Dow Schofield Watts brand and is listed on AIM, showcasing its ambition to become a top choice for professionals looking to establish and grow their own businesses.
DSW Capital’s acquisition model allows existing businesses to license its brand and access its network, which includes 25 licensee businesses and 110 fee-earners. These businesses benefit from start-up funding and back-office services provided by DSW, with the firm taking a percentage of revenue and profits as part of the deal. Such a model is similar to fee-share structures used by other law firms, albeit focused on firms rather than individual consultants.
DR Solicitors, founded in 2003, specialises in advising primary care providers such as GPs and dentists. It transitioned to an alternative business structure in 2013 and differs from typical models by not requiring its consultants to source their own work. As of the financial year ending in March 2024, DR Solicitors reported an 11% increase in revenue, reaching £3.1m, and a profit before tax of £1.2m. The firm’s head office in Guildford houses eight staff members, supported by 18 consultant solicitors.
The acquisition is viewed as a game-changer by DSW’s CEO, James Dow, who highlighted its potential to bolster earnings and expand the firm’s market reach. He emphasised that working with DR Solicitors’ leadership could accelerate business growth, leveraging the Dow Schofield Watts brand and resources to build a diversified platform of niche legal services. His deputy, Shrutisha Morris, with a legal background herself, echoed this sentiment, citing the partnership as ideal due to the complementary business models of both entities.
The leadership team of DR Solicitors, including Daphne Robertson and Nils Christiansen, will continue steering the firm post-acquisition. They received £4.3m in cash and £1.8m in shares, which are subject to a two-year lock-in. Ms Robertson remarked on the entrepreneurial synergy between DR Solicitors and DSW Capital, expressing confidence that the merger would enhance their operational model and benefit clients. DSW’s strategy includes scaling through organic growth, expanding geographically, and adding new service lines.
